Terms of Service

1. Acceptance

By accessing or using the Mantid.ai website and platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and references to “you” include both you individually and the organisation.

If you do not agree with these Terms, do not use the Service.

2. The Service

Mantid.ai provides a cloud-based safety issue tracking and compliance platform designed for industrial teams. The Service includes mobile apps (iOS and Android), a web dashboard, reporting tools, and associated APIs. We may update, modify, or discontinue features of the Service at any time with reasonable notice.

3. Account Registration

To use the Service you must create an account. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at contact@mantid.ai if you suspect unauthorised access to your account.

4. Free Trial and Subscription

We offer a 30-day free trial with no credit card required. At the end of the trial period, continued access requires a paid subscription. Subscription fees are billed monthly or annually as selected at checkout. All fees are non-refundable except as required by applicable law or as explicitly stated in these Terms.

We reserve the right to change pricing with at least 30 days' notice. Price changes will not take effect until your next billing cycle following the notice period.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Upload content that is defamatory, obscene, harassing, or infringes any third-party rights.
• Attempt to gain unauthorised access to any part of the Service, other accounts, or any related systems or networks.
• Reverse engineer, decompile, or disassemble the Service.
• Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent.
• Resell or sublicense access to the Service without our written permission.

6. Your Content

You retain ownership of all content, data, photos, and other materials you submit to the Service (“Your Content”). By submitting Your Content, you grant Mantid a limited, non-exclusive, royalty-free licence to store, process, and display Your Content solely to provide the Service to you and your organisation.

You represent and warrant that you have all rights necessary to grant this licence and that Your Content does not violate any third-party rights or applicable law. You are solely responsible for the accuracy and legality of Your Content.

7. Intellectual Property

The Service, including its software, design, text, graphics, and all related intellectual property, is owned by Mantid.ai and protected by copyright, trademark, and other laws. These Terms do not transfer any ownership rights to you. You may not use our trademarks, logos, or branding without our prior written consent.

8. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

9. Security and Data Protection

We maintain commercially reasonable technical and organisational measures to protect Your Content against unauthorised access, alteration, or loss. However, we cannot guarantee that unauthorised third parties will never defeat our security measures. You acknowledge that you provide Your Content at your own risk.

We will notify you without undue delay (and in any event within 72 hours where technically feasible) if we become aware of a security incident that materially affects your data.

10. Uptime and Availability

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated in advance where possible. We are not liable for any losses caused by downtime or service interruptions.

11. Termination

You may cancel your subscription at any time from your account settings or by emailing contact@mantid.ai. Cancellation takes effect at the end of the current billing period.

We may suspend or terminate your account immediately if you materially breach these Terms, fail to pay fees, or if we are required to do so by law. Upon termination, your right to access the Service ceases. You may request an export of Your Content within 30 days of termination; after that, we may delete it.

12. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

Mantid is a reporting and tracking tool. It does not replace your organisation's obligations to comply with applicable workplace health and safety laws and regulations. You remain solely responsible for your compliance obligations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANTID'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100. IN NO EVENT WILL MANTID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any disputes arising under these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent in-app notice at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
